The issue of liability is a term that can be found in all legal fields. Corporate law is no exception. The director is the decision-making body, which commits the company with third parties. The good health of the company depends on its good management. However, companies, small or large, are very often confronted with managers who are guided by their personal interest. Consequently, many of them break the rules despite the regulations and sanctions established in this respect by OHADA. Do the rules issued by OHADA really solve the problem of their responsibility?
