Corporate governance is about putting in place the structures, processes and mechanisms by which business affairs of the company are directed, managed and controlled in order to enhance long-term shareholder value through accountability by managers and enhancing firm performance. Over the last seven years a number of major corporations have failed in the United States. The majority of failures have been attributed to an absence of efficient corporate governance. Namibia has yet to witness the meltdown experienced elsewhere, but should be able to learn some lessons and probably leapfrog some of these experiences. However, this will only be possible if corporate governance is carefully analyzed and implemented in Namibia. This research project examines corporate governance in listed companies in Namibia. It looks at how one can measure good corporate governance and how managers achieve good corporate governance. Various recommendations are made on how to improve corporate governance in Namibia. This piece of writing is suitable for business men/woman as well as students and investors.
