Corporate Governance has attracted increasing attention throughout the financial community over the past few years. The traditional perspective on corporate governance is from an organizational and process angle, which is reflected by various codes of best practice and disclosure rules. This habilitation thesis first analyzes the concept of corporate governance, followed by both a structural and process-oriented view of corporate governance under Swiss law and self-regulation. The main part of the book is an analysis of corporate governance from a transactional perspective. This includes, among others, mergers & acquisitions, private equity transactions, takeover defenses and auctions, IPOs, restructuring, tracking stock and recapitalizations, followed by a summary conclusion.
The study combines an economic analysis of corporate governance with a practitioner's approach to capital market transactions. It is targeted to a broad audience, including external and in-house counsel, advisers, corporate officers and board members, court members and legislators.
