Produktbeschreibung
This title provides commentary on the key aspects of corporate governance with reference to management structure of a company, composition of the board, separation of Chairperson and CEO, and codification of the common law duties of directors. It also covers shareholder activism, the Company Secretary and other officers of the company, audit committees, disclosure and transparency. The book unpacks the international best practice in the chosen themes from the United Kingdom, United States of America and South Africa, before making a comparison with Zambian legislation and best practice. The approach taken of a commentary rather than a statutory outline is meant to provide an easier read and invoke further discourse for policy reform. The title takes this approach by applying the key themes within the unique social and geopolitical environment of Zambia. Naturally, it sets a platform for further works in the area of corporate governance.
